Vaxcyte Launches Dual $500M Offerings of Stock and Convertible Notes
Vaxcyte is raising up to $1 billion through separate public offerings of common stock and convertible senior notes due 2032.
Vaxcyte, Inc., a clinical-stage vaccine developer listed on Nasdaq under the ticker PCVX, announced Monday the simultaneous launch of two separate public offerings totaling $1 billion, seeking $500 million through sales of common stock and pre-funded warrants and another $500 million via convertible senior notes maturing in 2032.
The San Carlos, California-based company said underwriters have been granted a 30-day option to purchase up to an additional $75 million in common stock and a separate $75 million in additional notes to cover potential over-allotments, bringing the maximum possible fundraise to $1.15 billion if both options are fully exercised.

Vaxcyte emphasized that the two offerings are structured independently — completion of the equity offering is not contingent on the note offering closing, and vice versa. Both transactions are registered under the Securities Act of 1933, with all securities being sold directly by Vaxcyte rather than by existing shareholders.
The fundraising effort represents a significant capital push by the clinical-stage company, which has yet to generate product revenue as it advances its vaccine pipeline. Large dual-tranche offerings of this structure are typically used by pre-revenue biotechs to extend their cash runway through late-stage clinical trials and potential regulatory submissions. Vaxcyte cautioned that completion of either offering remains subject to market conditions, with no assurance given on timing, final size, or terms.
