PNC Financial to Redeem $525M in Series S Preferred Stock
PNC Financial Services will redeem $525 million in Series S preferred depositary shares on Nov. 2, 2026, following a non-business day adjustment.
PNC Financial Services Group announced Monday it will redeem all depositary shares representing interests in its Series S preferred stock, a transaction valued at $525 million scheduled to settle Nov. 2, 2026. The date was shifted one day from the originally targeted Nov. 1 redemption date because that date falls on a non-business day.
The depositary shares, which trade under CUSIP 693475 AQ8 on the New York Stock Exchange, represent fractional interests in the underlying Series S preferred stock issued by the Pittsburgh-based banking giant. Redemptions of this type are a standard mechanism banks use to retire hybrid capital instruments when the fixed cost of maintaining them exceeds strategic or regulatory benefits.

The move is consistent with broader capital management activity among major U.S. banks, which have periodically called preferred share series to manage their cost of capital and simplify their balance sheets. PNC, one of the largest U.S. regional lenders, has not publicly stated a specific reason for the timing of this particular redemption beyond the standard notice obligations.
Holders of the affected depositary shares will receive the redemption proceeds on the settlement date. Investors holding the securities should consult their brokerage accounts or the relevant paying agent for details on how proceeds will be distributed.
