Australian miner Chilwa Minerals raised $3.5M through 625,000 ADSs priced at $5.60, with warrants exercisable immediately for five years.
Chilwa Minerals Limited, an Australian mining company dual-listed on the ASX and Nasdaq, announced Wednesday the closing of an underwritten public offering that raised US$3.5 million in gross proceeds before underwriter discounts and other expenses.
The offering comprised 625,000 American Depositary Shares priced at US$5.60 each, with each ADS representing 10 ordinary shares of Chilwa. Accompanying warrants to purchase an equal number of ADSs were issued at the same exercise price of US$5.60 per ADS, are exercisable immediately upon issuance, and carry a five-year expiration window from the original issuance date.

The company's ADSs began trading on the Nasdaq Capital Market under the ticker symbol "CHWM" on October 1, 2026, one day ahead of the offering's official close. The Perth-based firm trades on the Australian Securities Exchange under the symbol CHW.
The capital raise gives Chilwa a fresh injection of U.S.-dollar funding, a strategic move for a smaller mining company seeking visibility and liquidity in North American equity markets.
